Marvel Advisors Internal Reporting Application

End-User License Agreement

Effective date: July 26, 2026

This End-User License Agreement (the “Agreement”) is a binding agreement between Marvel Advisors LLC, a Colorado limited liability company (“Marvel Advisors,” “we,” “us”), and the individual who accesses or uses the Marvel Advisors Internal Reporting Application (the “Application”). By installing, accessing, or using the Application, you agree to this Agreement. If you do not agree, do not use the Application.

1. The Application

The Application is internal business software. It connects to Marvel Advisors’ own QuickBooks Online company file through Intuit’s API and presents accounting reports and records — profit and loss statements, balance sheets, accounts receivable, transactions, and similar financial information — to authorized personnel.

The Application reads data. It does not create, modify, or delete records in QuickBooks Online.

The Application is not offered to the public, not sold, and not distributed outside Marvel Advisors.

2. License Grant

Subject to this Agreement, Marvel Advisors grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for Marvel Advisors’ internal business purposes, and only for as long as you are authorized by Marvel Advisors to do so.

3. Eligibility

The Application is available only to Marvel Advisors employees, officers, and contractors who have been expressly authorized to access Marvel Advisors’ financial records. Your authorization ends when your employment or engagement ends, or when Marvel Advisors withdraws it.

5. Confidentiality

All data accessible through the Application is confidential information of Marvel Advisors and, in some cases, of its clients. You must protect it with at least the same care you apply to your own confidential information, and you must not use it for personal benefit or for the benefit of any third party. This obligation survives the end of your authorization and of this Agreement.

6. Credentials and Security

The Application uses OAuth credentials issued by Intuit. You are responsible for safeguarding any credentials, tokens, or devices through which you access the Application, and for promptly notifying Marvel Advisors of any suspected compromise, loss, or unauthorized access.

7. Data and Privacy

The Application accesses Marvel Advisors’ financial data held in QuickBooks Online. It does not collect personal information from you beyond what is necessary to authenticate your access and maintain security and audit records.

Your use of QuickBooks Online is separately governed by your agreement with Intuit. Marvel Advisors is not responsible for Intuit’s services.

8. Ownership

The Application, including all software, interfaces, and documentation, is owned by Marvel Advisors and is protected by copyright and other intellectual property laws. This Agreement grants a license to use the Application; it does not transfer any ownership interest. All rights not expressly granted are reserved.

9. No Warranty

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. MARVEL ADVISORS DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY REPORT OR FIGURE IT PRODUCES IS ACCURATE OR COMPLETE.

Reports generated by the Application are for internal informational purposes. They are not financial statements, tax advice, audited results, or a substitute for review by a qualified accountant.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARVEL ADVISORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE APPLICATION, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

This Agreement takes effect when you first use the Application and continues until terminated. Marvel Advisors may suspend or terminate your access at any time, with or without notice, for any reason. Your license ends automatically if you breach this Agreement or cease to be authorized under Section 3. On termination you must stop using the Application and delete any local copies, credentials, and exported data in your possession.

Sections 4, 5, 8, 9, 10, and 12 survive termination.

12. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict of laws rules. The state and federal courts located in Douglas County, Colorado have exclusive jurisdiction over any dispute arising out of this Agreement, and you consent to their jurisdiction and venue.

13. Changes

Marvel Advisors may modify this Agreement at any time by posting an updated version at this address. Your continued use of the Application after an update takes effect constitutes acceptance of the revised Agreement.

14. Entire Agreement

This Agreement is the entire agreement between you and Marvel Advisors regarding the Application and supersedes any prior understandings on that subject. If any provision is held unenforceable, the remaining provisions remain in full force. A failure to enforce any provision is not a waiver of it.
